Domestic fund sells Huhtamaki PPL and foreign funds transact in Sintex Industries

Insider Deals: Promoter Bharti Airtel through its wholly owned subsidiary, Nettle Infrastructure Investments, sold 1.68 crore shares of Bharti Infratel at Rs 380.12 per share in a bulk deal on the BSE on 8 August 2017. Another 5.06 crore shares were sold at Rs 380.74 a piece on the BSE on the same day . Bharti Airtel held 50.33% equity and Nettle Infrastructure Investments owned 11.32% stake end June 2017.

On 8 August 2017, Bharti Airtel announced the successful divestment of 6.75 crore shares of subsidiary Bharti Infratel through a secondary share sale in the stock market. The sale was for a total consideration of over Rs 2570 crore. The procceds will be primarily used to reduce its debt. Following the closure of the transaction, Bharti Airtel and its wholly owned subsidiaries together have an equity holding of 58% in Bharti Infratel. The allocation was done to global tower company investors, fund managers and long only funds, including many repeat investors.

Vittal Gopal sold 1.21 lakh shares of Bharti Airtel to promoter Bharti Telecom at Rs 416.05 per share in a block deal on the NSE on 10 August 2017. Bharti Telecom controlled 45.48% stake end June 2017.

Bharti Airtel’s consolidated profit after tax (Pat) fell 58.4% to Rs 617.70 crore on 14% decline in net sales to Rs 21958.10 crore in Q1 June 2017 over Q1 June 2016.

Despite falling average revenue per user (ARPU), telecom services provider are forced to invest significantly in infrastructure and technology upgrades to maintain competitiveness. Increased competition amid disruptive tariff plans have put operator margins under pressure and resulted in consolidation via mergers and acquisitions. The increased debt burden on operators coupled with continuous pressure on profitability has affected the financial health of the telecom sector.

Major promoter increased stake in Motilal Oswal Financial Services in a rejig of promoter holding. Promoters Raamdeo Ramgopal Agrawal and Motilal Gopilal Oswal sold a combined seven lakh shares at Rs 1080 per share to another promoter entity, Passionate Investment Management, in a block deal on the BSE on 9 August 2017. Agrawal held 8.11%, Oswal 8.37% and Passionate Investment 53.08% stake end June 2017.

Motilal Oswal’s consolidated Pat rose 28.3% to Rs 101.59 crore on 45.2% growth in total income to Rs 570.73 crore in Q1 June 2017 over Q1 June 2016.

New Leaina Investments sold three lakh shares of at Rs 808.50 per share in a bulk deal on the NSE on 10 August 2017. Promoter Gulf Oil International Mauritius bought 3.45 lakh shares at Rs 808.17 a piece. Gulf Oil International Mauritius controlled 69.86% stake end June 2017.

Promoter Adishwar Enterprises sold 7.35 lakh shares of Vardhman Special Steels to another promoter Sachit Jain at Rs 120 per share in a block deal on the NSE on 11 August 2017. Adishwar Enterprises held 13.09% and Sachit Jain owned 0.67% stake end June 2017.

Promoter Indra Gaggar sold 60,000 shares of Garnet International at Rs 659.05 per share in a bulk deal on the BSE on 16 August 2017. Balram Chainrai bought 60,000 shares at Rs 659.44 a piece. Gaggar held 6.04% stake end June 2017.

Bulk Deals: Lord Abbett Securities Trust sold 30.68 lakh shares of Housing Development & Infrastructure (HDIL) at Rs 71.78 per share in a bulk deal on the NSE on 7 August 2017.

HDIL issued a clarification to the stock exchanges on 9 August 2017 it had received possession notice from the Central Bank of India on account of non-performing asset due to technical reasons. After proposing closure of the loans, approval was received for one-time settlement plan. Part payment has been already made and the intention is to resolving the issue once and for all.

Subsidiary company Guruashish received an order from National Company Law Tribunal of the appointment of an insolvency resolution professional after admitting an application from Union Bank of India under the Insolvency and Bankruptcy Code. The subsidiary’s bank accounts were frozen by the income tax department for the assessment year 2012-13 for recovery of unjustifiable demand against which appeal has been made. This resulted in default into payment of the dues and misunderstanding with the bank for a one-time settlement. Discussion is on to resolve the matter. Similarly, resolutions are being sought from other lender for reducing debt.

Platinum Asia Fund sold 5.15 lakh shares of Sobha at Rs 379 per share in a bulk deal on the BSE on 8 August 2017,5.15 lakh shares at Rs 379 per share in a bulk deal on the NSE on 8 August 2017 and 17.58 lakh shares at Rs 385.01 per share in a bulk deal on the NSE on 18 August 2017. Franklin India High Growth Company Fund bought 15.78 lakh shares at Rs 385 a piece. Platinum Asia Fund held 5.64% and Franklin India Smaller Companies Fund owned 3.79% stake end June 2017.

Sobha’s board on 4 August 2017 approved a proposal to buy back up 14.58 lakh shares at Rs 425 per share for an aggregate amount not exceeding Rs 62 crore being 1.5% of the total paid up equity share capital. The buyback is proposed to be made from all existing shareholders including promoters on a proportionate basis under the tender offer route.

Consolidated Pat of Sobha spurted 32.9% to Rs 47.70 crore on 18.4% growth in net sales to Rs 674.90 crore in Q1 June 2017 over Q1 June 2016.

Kiduja India bought five lakh shares of Security and Intelligence Services (India) at Rs 879.80 per share in a bulk deal on the NSE on 10 August 2017. Shares of SIS settled at Rs 756.70 on BSE, a discount of 7.15% compared with its initial public offer (IPO) price of Rs 815 on its debut on 10 August 2017. The IPO, which concluded in early August, had received an oversubscription of 7.07 times. SIS is a leading provider of private security and facility management services in India.

Seraphic Management and Advisory bought two lakh shares of Gokaldas Exports at Rs 95.99 per share in a bulk deal on the NSE on 7 August 2017. Goldflag Holdings sold two lakh shares to Saravana Stocks at Rs 83.75 per share in a bulk deal on the NSE on 11 August 2017.

Gokaldas Exports reported net loss of Rs 8.45 crore in Q1 June 2017 compared with net loss of Rs 11.62 crore in Q1 June 2016. Net sales rose 5.3% to Rs 237.25 crore. The order execution to some of the domestic customers got adversely affected as they shifted their dispatches to July 2017 in view of the goods and services tax (GST) implementation. Thus, the orders will get reflected in Q2 September 2017. The revised export incentives, post GST implementation, is yet to be notified as fabrics and some of the inputs that were not taxed earlier have now come under GST. The Union government’s support to the apparel exports sector will continue post GST regime.

JPMSL A/C Copthall Mauritius sold 4.47 lakh shares of Ganesh Housing Corporation at Rs 139.20 per share in a bulk deal on the NSE on 9 August 2017.

Rangineni Venumanohar Rao sold 3.79 lakh shares of Kaveri Seed Company at Rs 556.03 per share in a bulk deal on the NSE on 10 August 2017. Rangineni Venumanohar Rao held 1.09% stake end June 2017.

Gitanjali Gems’s consolidated Pat rose 21.9% to Rs 69.47 crore on 51.2% growth in net sales to Rs 5611.07 crore in Q1 June 2017 over Q1 June 2016.

Shreyansbhai Shantilal Shah sold 6.75 lakh shares of GTPL Hathway to Smrutiben Shreyansbhai Shah at Rs 141.65 per share in a bulk deal on the BSE on 16 August 2017.

Moneyline Portfolio Investments sold 85 lakh shares of Max Financial Services at Rs 605.02 per share in a bulk deal on the BSE on 16 August 2017. Moneyline Portfolio Investments held 9.94% stake end June 2017.

HDFC Mutual Fund sold 37.80 lakh shares of Huhtamaki PPL at Rs 230 per share in a bulk deal on the BSE on 17 August 2017. Ntasian Discovery Master Fund bought 34.54 lakh shares. HDFC Midcap Opportunities Fund held 5.14% stake end June 2017. Huhtamaki PPL’s Pat fell 61.6% to Rs 7.23 crore on 11.3% decline in net sales to Rs 502.63 crore in Q2 June 2017 over Q2 June 2016.

WHV-EAM International Small Cap Equity Fund bought 23.14 lakh shares of Meghmani Organics at Rs 70.70 per share in a bulk deal on the NSE on 18 August 2017 after the company reported strong financials in June quarter. Meghmani Organics’s consolidated Pat rose 55.1% to Rs 43.33 crore on 16.8% growth in net sales to Rs 421.21 crore in Q1 June 2017 over Q1 June 2016.

Blackrock Funds International Opportunities Portfolio sold 53.56 lakh shares of Sintex Industries at Rs 33.11 per share in a bulk deal on the NSE on 8 August 2017.
